Terms of Service

Welcome to Ninan. By downloading, accessing, registering for, signing in to, or using the app, the website, or related services, you indicate that you have read and agree to these Terms of Service and our Privacy Policy. If you do not agree, please do not use Ninan.

These terms constitute the agreement between you and Taiyou Media, the provider of the Ninan service, regarding your use of Ninan. If you use the service on behalf of an organization, you confirm that you have the authority to accept these terms on behalf of that organization.

1. Scope

These terms apply to Ninan’s iOS app, keyboard extension, Android app, Mac and Windows desktop apps, official website, cloud services, membership subscriptions, beta features, and features added later. Some features may come with additional notices, prices, limits, or usage rules; where additional rules are inconsistent with these terms, the more specific rules prevail.

2. Accounts and Sign-In

You may need to sign in with Sign in with Apple or another method we support. You must make sure that your sign-in method is genuine, lawful, and under your control, and you are responsible for activity that takes place through your device or account. If you find that your account has been compromised, your device has been lost, or there is unusual use, please take protective measures and contact us as soon as possible.

3. Conditions of Use

You must have the legal capacity to enter into these terms. If you have not reached the age or capacity required by the law where you live, you must use the service with the consent and under the guidance of a guardian or legal representative. You may not use Ninan for any activity that is illegal, infringing, or in violation of these terms.

4. The Service

Ninan provides features such as voice input, voice rewriting, Say It, text generation, translation, summarization, the knowledge base, image attachments, clipboard context, location and calendar context, personal memory, skills, soul settings, a personal dictionary, snippets, cross-app keyboard collaboration, and quota management. The specific features vary with version, platform, region, permissions, network conditions, and subscription status.

5. User Content

You retain the rights to the content you enter, upload, save, or create, including voice, text, images, files, knowledge base material, memory, skills, dictionary entries, snippets, and prompts. You grant us a non-exclusive, revocable license to process this content as necessary to provide, maintain, protect, and improve Ninan, so that we can store, transmit, convert, parse, generate, display, and delete it to the extent necessary.

You must make sure that you have the right to upload, process, and use the content, and that the content does not infringe others’ intellectual property, privacy, likeness, trade secrets, or other lawful rights and interests. You bear sole responsibility for liability arising from your content or your use.

6. AI Output

Some content in Ninan is generated automatically by AI. AI output may be inaccurate, incomplete, outdated, repetitive, similar to other output, or unsuited to your specific situation. You should review, edit, and judge the output yourself, and should not treat it as the sole basis for medical, legal, financial, investment, safety, personal, or other professional advice.

To the extent permitted by applicable law, you may use the output that Ninan generates from your input. However, you understand that AI services may generate the same or similar content for different users, and we do not guarantee that output is unique, original, registrable, or non-infringing.

7. Subscriptions, Quota, and Apple Subscriptions

Ninan may offer a free quota, a Pro subscription, trials, promotions, or other paid features. Different plans may have different daily, weekly, or other periodic quotas, feature scope, and service priority.

Subscriptions purchased through the App Store, and their renewal, cancellation, and refund, are handled by Apple and are subject to the Apple App Store, Apple ID, and related payment policies. Unless Apple or applicable law provides otherwise, fees for completed purchases or subscriptions may not be refundable by us directly. You can manage or cancel auto-renewal in the subscription settings of your Apple account.

We may adjust prices, quotas, and benefits for reasons of cost, service quality, law, or business. Material adjustments will be announced through the app, the website, the store page, or other reasonable means.

8. Permitted and Prohibited Uses

You may use Ninan for lawful personal, study, creative, and work purposes. You may not:

  • Upload, generate, or distribute content that is illegal, infringing, fraudulent, harassing, hateful, pornographic, violently threatening, malware, spam, or invasive of privacy.
  • Process other people’s personal information, trade secrets, confidential material, or copyrighted material without lawful authorization.
  • Attack, scan, damage, overload, circumvent, reverse engineer, scrape, rent out, resell, or abuse Ninan’s services, interfaces, quotas, or security mechanisms.
  • Impersonate others, fabricate an identity, mislead others into believing that AI output was made by a real person or an official body, or use the service for unlawful automated activity.
  • Use Ninan for automated decision-making in high-risk scenarios, such as medical diagnosis, legal determinations, financial transactions, control of personal safety, or other uses that may cause serious harm.

9. Intellectual Property

Ninan’s name, logos, interface, software, website, design, documentation, and related materials are protected by intellectual property law. Unless we expressly authorize it, you may not copy, modify, distribute, sell, rent, decompile, create derivative works from them, or remove rights notices. These terms do not transfer to you any intellectual property in Ninan or in third-party services.

10. Third-Party Services

Some of Ninan’s features (such as Apple account sign-in, in-app purchases, and payments) rely on third-party services. Third-party services may have their own terms and privacy policies. When you use the relevant features, you must also comply with the applicable third-party rules.

11. Changes, Suspension, and Termination of the Service

We may modify, suspend, or terminate some features, platforms, quotas, or services for reasons of product iteration, security, compliance, cost, business, or technology. If you violate these terms, abuse the service, create risk, or the law requires us to act, we may restrict, suspend, or terminate your use, and retain relevant records to a reasonable extent in order to handle disputes and security issues.

12. Data and Privacy

We process your personal information and user content in accordance with the Privacy Policy. When you use features that require permissions, you decide for yourself whether to grant them when the system prompts you. You can manage permissions, content, and account data in system settings or in the app.

13. Disclaimer

To the maximum extent permitted by applicable law, Ninan is provided “as is” and “as available”. We do not guarantee that the service will never be interrupted, will be error-free or completely secure, or will always meet your expectations, nor that AI output is accurate, complete, fit for a particular purpose, or free from infringement of third-party rights. You should back up important content yourself, and you are responsible for your own judgment about the results of using Ninan.

14. Limitation of Liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, punitive, or consequential losses arising from the use of, or inability to use, Ninan, including loss of profits, loss of data, business interruption, reputational harm, or third-party claims. Where the law does not allow liability to be excluded entirely, our liability is limited to the minimum extent permitted by applicable law.

15. Indemnification

If your violation of these terms, infringement of third-party rights, unlawful use of the service, or uploading of content you have no right to process causes us, our affiliates, service providers, or other users to suffer claims, losses, costs, or liability, you agree to bear the corresponding responsibility to the extent permitted by applicable law.

16. Updates to These Terms

We may update these terms in response to product, legal, or business changes. Material changes will be announced through the website, the app, the store page, or other reasonable means. Continuing to use Ninan after the changes take effect means that you accept the updated terms; if you do not agree, you should stop using the relevant services.

17. Dispute Resolution

If a dispute arises from these terms or the Ninan service, both parties should first resolve it through friendly negotiation. If negotiation fails, either party may seek relief from a court or dispute resolution body with jurisdiction under applicable law. Where mandatory consumer protection law provides otherwise, that law applies.
